You know, even if you don't have any agreement in writing, you had a verbal agreement. What will help you in your defense that this was a business dealing is the fact that you and this co-worker are NOT life long friends. You knew each other through your job. No big weekend cookouts, raising your children together, etc. You will be able to show that she is just that, a coworker. Believe me this will help tremendously as it will show that this was more of a business dealing/verbal agreement.
