The three of them went into business together, didn't they? Gretchen and Elliot bought Walt out for a few thousand dollars, I think because Taylor got pregnant and he had to get married, but I'm not sure that the show actually said that part.
Walt talked a little this season about his idea of a business and how it now worth millions/billions?, but he didn't again talk about why he got out. It did seem to imply that that was his reason for needing the power of the business to proof something to himself. I didn't think that there was a major affair between he and Gretchen, but she did choose Elliot over him.
